# Constitution Document Requirements For Singapore Accounts

## What is a constitution document?
A constitution document is a legal document that explains how an organization is structured, governed, and authorized to make decisions. It can include:
* The organization's objectives and activities
* The roles and responsibilities of directors, partners, trustees, or other governing members
* How governing members are appointed or removed
* Who can make decisions or enter into agreements on behalf of the organization
* Voting, approval, or veto rights
The document's name varies by legal entity type.
## Why does Stripe need a constitution document?
Monetary Authority of Singapore (MAS) Notice PSN01 requires payment service providers to understand and verify the legal constitution of their business customers, including the powers that regulate and bind each organization. Reviewing your constitution document helps Stripe confirm:
* How your organization is governed
* Who has authority to act on its behalf
* Whether anyone has significant control through governance or decision-making rights
## What document do I need to provide?
The document you need to provide depends on your legal entity type.
### Sole proprietorship
You don't need to provide a constitution document.
### Private or public company
Upload your company’s Constitution.
If your company doesn't have a Constitution, which is more common for companies incorporated before January 2016, upload its Memorandum and Articles of Association (M&A) instead.
If your company adopted ACRA’s model constitution, you might not need to submit documentation.
An ACRA BizFile is not an acceptable constitution document for a company. Uploading an ACRA BizFile for a company will result in rejection.

### Partnership
Provide a governing agreement, such as:
* Partnership Agreement
* Limited Liability Partnership Agreement
* Limited Partnership Agreement
If your partnership doesn't have a written agreement, you can upload its current ACRA BizFile instead. Stripe accepts a BizFile as an alternative only for partnerships.
The legal name on the BizFile must match the legal name on your Stripe account. The Dashboard will indicate whether Stripe needs more information.
### Charity or non-profit organization
Provide your organization's most recent governing instrument, such as:
* Constitution
* Rules
* Charter
* Trust Deed
For example, a society registered with the Registry of Societies can provide its constitution or rules.
## Why your document upload could fail
Stripe might reject your document for any of the following reasons:
* You uploaded an ACRA BizFile for a company. Stripe accepts BizFiles only for partnerships.
* The document's legal name doesn't match the name on your Stripe account. If your legal entity name has changed since the constitution document was created, upload a name-change document with your Constitution or Memorandum and Articles of Association.
* The document is missing pages or is incomplete.
* The scan or photo is unclear or unreadable.
* The document is outdated and doesn't reflect your organization's current governance arrangements.
